1. Acceptance
These Terms govern your use of the OrbixPanel software (the “Software”) and the services at orbixpanel.com (the “Service”), operated by OrbixPanel (“we”, “us”). By downloading, installing, or using the Software or Service you agree to these Terms. If you do not agree, do not install or use them.
2. The Software & licenses
OrbixPanel is self-hosted control-panel software you run on your own server(s). Use requires a license issued via the Service. Editions (Community, Personal, Professional, Business/Reseller, Enterprise) determine the features and limits available. A new install may include a 30-day free trial; when the trial or a paid term ends, licensed features may be restricted per the license lifecycle. You may not remove or circumvent licensing, resell the Software except under a reseller/enterprise license, or use it beyond your edition’s limits.
3. Accounts, claims & credits
Some features require an account on the Service. You are responsible for your credentials and all activity under your account, and must provide accurate information. Promotional credits (including any founding-user bonus) are granted only on account claim, have no cash value, are non-transferable, and may expire or be revoked in cases of abuse or ineligibility.
4. Acceptable use
You must not use the Software or Service to host or distribute unlawful, infringing, malicious, or abusive content; to send spam; to attack, probe, or overload any system; to violate others’ rights or privacy; or to breach applicable law. You are solely responsible for the content and workloads you and your users host. We may suspend or terminate licenses or accounts that violate this section.
5. Payments & refunds
Paid licenses are billed through a third-party merchant of record, which handles payment processing and applicable taxes. Fees are stated at purchase. Except where required by law or expressly offered, fees are non-refundable. You authorize recurring charges for subscription editions until cancelled.
6. Availability & changes
The Service is provided on an “as available” basis; we may modify, suspend, or discontinue parts of it, and update these Terms, the Software, editions, and pricing. Material changes take effect when posted here. Continued use after a change means you accept it.
7. Disclaimer of warranties
The Software and Service are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You run the Software on your own infrastructure and are responsible for backups, security, and your data.
8. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Software or Service will not exceed the amount you paid us for it in the 12 months before the claim.
9. Termination
You may stop using the Software at any time. We may suspend or terminate your license or account for breach of these Terms or the Acceptable Use section. On termination, licensed features may cease to function; sections that by nature survive (e.g. disclaimers, liability limits) continue to apply.
10. Governing law
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. Nothing here limits any non-waivable rights you have under your local law.
